CONFIRMED App Terms & Conditions

These Terms and Conditions consist of the following sections: 1. Introduction; 2. The Purchase Terms (including but not limited to contract conclusion with adidas, Delivery Policy, Return Policy, and adidas Hype Terms & Conditions); 3. Use of the App and 4.  Miscellaneous, as well as policies, sets of terms or documents to which a link has been provided herein (collectively “Terms & Conditions”).

1. INTRODUCTION

The CONFIRMED App (the "App") is operated by or on behalf of adidas Singapore Pte. Ltd., 109 North Bridge Road, #09-21, Singapore 179097 (“adidas/we/us”). If you place an order through this App, upon confirmation that such order is accepted by adidas, a contract of sale will be executed between you and adidas, which will be governed by these Terms and Conditions and specifically by the Purchase Terms mentioned below in Section 2.

adidas AG is the parent company of the adidas Group, which includes several affiliated companies; among them, adidas International Trading AG and adidas Singapore Pte Ltd.

2. PURCHASE TERMS

Please read these Purchase Terms carefully before ordering Products online from the App.

2.1 When do these Purchase Terms apply?

These Purchase Terms apply to all offers and contracts relating to the sale and delivery of Products by us. In other words, you agree to these Purchase Terms, when you (i) order anything from the App, (ii) order anything at any web page directly connected to the App or (iii) offer to buy from us through the App or any web page directly connected to the App. It is only possible to deviate from these Purchase Terms if otherwise specified in writing by us.

2.2 Products

We have different types of products as may be displayed on the App from time to time (“Products”).

Please note that in the case of limited edition or limited production Products’ extra restrictions such as limiting the number of such Products per customer may apply. These extra restrictions will be made known to you via the App, and as specified for particular products in this section.

All Products shown on the App are subject to availability. This means that, although we strive to ensure our App reflects the availability of stock, a Product shown on the App may no longer be available for purchase.

Minor differences in colour and other variations in Products are possible as a result of different image acquisition, display technologies or other technical reasons. adidas is not liable for these variations and deviations. No rights can be derived from typing errors, product descriptions or manifest errors on the App.

Specific Terms & Conditions for HYPE Products

§  Hype Products are special edition products, such as but are not limited to Yeezy products and adidas x Gucci products (“HYPE Products”).

§  Each customer may only purchase up to one (1) pair of adidas HYPE Products, based on a first-come-first-served basis and upon payment being completed.

§  No refunds, returns or exchanges will be entertained except as required by law.

§  Except for any liability that cannot by law be excluded, adidas Singapore Pte Ltd (including its officers, employees and agents) excludes all liability for any death, personal injury, loss or damage (including loss of opportunity and whether direct, indirect, special or consequential) suffered or incurred by any person (whether or not arising from any person's negligence) arising in any way out of or in connection with this sale of the adidas HYPE Products.

§  Each Customer must comply with these Terms and Conditions. Each Customer indemnifies and will keep adidas indemnified in relation to all loss and damage whatsoever which is suffered (including but not limited to indirect or consequential loss) by adidas as a direct or indirect result of the Customer acting inconsistently with or breaching any part of these Terms and Conditions.

§  adidas Singapore Pte Ltd has the right to forfeit any opportunity to purchase HYPE Products for any customer who does not follow adidas’ instructions/regulations.

§  In circumstances of conflicting purchases leading to stocks insufficiency, adidas Singapore Pte Ltd has the right to forfeit any customer of any purchase made. adidas Singapore Pte Ltd will, of course, inform you immediately and reimburse any payments the Customer has made. Please note that the time taken for a payment services provider (e.g. Customer’s credit card supplier) to provide a Customer with the refund can vary depending upon the provider.

§  adidas Singapore Pte Ltd reserves the right to amend these terms and conditions at any time and without notice.

2.3 Requirements to conclude a contract with adidas

You have to be 18 years of age or older and not otherwise legal incapacitated to enter into contracts to buy Products via the App.

You can only order on the App if you are a consumer, not a reseller.

You guarantee that the information you provide to us in the request or order is accurate and complete. 

2.4 How is a contract concluded with you?

2.4.1 General Aspects of Contract Formation

The following applies to all types of products. All information on the App is an invitation to treat only. In other words, the information is not an offer or binding contract. You agree that your order is an offer to purchase the Products listed in your order.

All orders submitted by you are subject to acceptance by us. We are entitled to verify an order in advance at all times and/or to refuse to accept an order without providing reasons and with no liability to you or any third parties. If we do not confirm acceptance of your order within ten working days, it is deemed to have been refused.

We may choose not to accept your order at our own discretion. Examples of when we may not accept your order are as follows:

  1. If Product(s) are shown on the App but are not or no longer available;
  2. If we are unable to receive your payment;
  3. If shipping restrictions apply to a Product, or the delivery address is incorrect or incompelete;
  4. If Product(s) shown on the App contain a (manifest) error such as being incorrectly priced or otherwise incorrectly described.

In the event that we do not accept (part of) your order we shall be entitled to cancel (part of) your order without incurring any liability towards you or a third party. Following the cancellation we will of course provide you with a refund for the amount paid to us under the cancelled (part of the) order.

To the extent permitted by law, we reserve the right to cancel your order after the creation of the contract of sale, thereby terminating the contract of sale, for the reasons stipulated in this section 2.4.1. under the examples described a through d above. Following the cancellation we will of course provide you with a refund for the amount paid to us under the cancelled (part of the) order.

adidas has and fully reserves the right to refuse to accept any order that it knows or reasonably suspects was made with the assistance or involvement of any software, robot, crawler, spider or other automated means or device, or through any fraudulent acts, or for any malicious reason (e.g., resale purpose).

2.4.2 Special Aspects of Contract Formation for Products

After your order has been placed, we will send you an order-receiving notice email with your order number and details of the Products you have offered to purchase and details of any delivery services. However, please note that acceptance of your order and the formation of a contract of sale of the Products between you and us will not take place unless and until either:

  1. you receive a confirmation from us that the Products have been shipped to you from our warehouse; or
  2. you receive a confirmation from the carrier that the Products are ready for you to pick up if you have chosen to pick up the Product(s) at a carrier office or the carrier has stored the Products at the pickup location; or

c.        you receive a confirmation from us that the Products are ready for you to pick them up at the selected adidas store, in the event that (where applicable) you have chosen to collect the Products you ordered and paid for on the App at an adidas store (Click & Collect).

2.5 Retention of title

All Products will remain the property of adidas until you have paid all amounts owed to us in full under any agreement, including the payment of costs, earlier or later deliveries or partial deliveries. You may not sell, dispose of or encumber any Product before full title thereof has passed to you.

2.6 Maintenance of Products

We draw your attention to the washing and maintenance instructions printed on the labels of the Products. We are not liable for any damage resulting from incorrect handling of Products, including handling contrary to the instructions.

2.7 Order Cancellation

Once your order has been placed, it immediately starts going through our ordering process. Therefore, we unfortunately cannot cancel or change your order or order details even if it has not been shipped yet. Once you receive your order, you may return any products you don't want by following our Returns and Returns Policy as stipulated in section 2.12. Please kindly contact our Customer Service for more details.

2.8 Price

The stated prices include GST. Prices are quoted in Singapore Dollars (SGD). adidas reserves the right to make price changes prior to an order placed by you.

We reserve the right to change, limit or terminate any special offers or discounts at any time.

Additional costs such as shipping, handling, delivery, postage, insurance and if applicable, customs fees and other government taxes, will be specified and charged to you separately. The costs vary for each Product and type of delivery.  For further details, please see section 2.11 or go to ‘Delivery’ in the General Help section of the App. All additional costs will be charged separately, itemised and added to the total amount of the order.

2.9 Methods of payment

Please check the General Help section of the App for information on available payment methods.

adidas reserves the right to conduct an individual credit check for each order in accordance with the adidas Privacy Policy. Depending on the results of this check, adidas reserves the right to refuse certain methods of payment.

2.10 Invoicing

Where we elect, or are required by applicable law, to issue or make available an invoice, we reserve the right to issue or make available electronic invoices and you agree to such form of invoicing.

2.11 Delivery

We will deliver to the address indicated by you within Singapore. We can deliver to a home or office address or a carrier pickup location or if you have chosen to collect the Products from an adidas store, to the address of the relevant adidas store or your doorstep, security counter or a designated location as indicated by you. We will confirm this to you by an email when informing you that the Products are ready for you to pick up. By requesting delivery to your doorstep, security counter or other designated location, you release us from all liability for loss or damage that may result from this request.  If a delivery attempt is unsuccessful, you agree that the carrier we have engaged for the delivery may also deliver the Products to a neighbouring/nearby address or pick-up point, after which adidas is deemed to have met its obligation to deliver the Products. The carrier will notify you of the delivery to the neighbouring/nearby address or pick-up point.

adiClub members

Shipping is free of charge on all orders regardless of order value.

Non-adiClub Members

Free Shipping is only available for standard delivery for orders above a minimum spend of 100 SGD (subject to revision from time to time at our sole discretion). Shipping charges shall apply for orders below the minimum spend of 100 SGD.

Shipment of orders will take place on business days, not being a public holiday in Singapore. Therefore, please, take into account any public holidays in Singapore. Deliveries will also be made on business days, not being a public holiday in your country. Note that public holidays may vary per year.

For detailed information about delivery periods, please check the specifications for the different types of delivery on the Delivery section in the General Help section of the App (Settings > About > General Help).  Delivery periods are indicative and are therefore not regarded as strict deadlines. The mere fact that a delivery period is exceeded does not entitle you to compensation and you hereby waive your rights to claim.

adidas is entitled, insofar as reasonably possible, to make split deliveries so that you receive your Products as soon as possible. There are no additional costs associated with such split deliveries. However, in the event that you request that we deliver in parts, we may charge you for extra delivery costs. Each split order shall constitute a separate contract of sale. If we are late delivering a part or one split order is faulty, that will not entitle you to cancel any other part of split order.

In the unlikely event that after entering into the contract of sale, we cannot, could not or can no longer deliver (part of) your order and are not responsible for this situation, we will be entitled to terminate the contract of sale. We will, of course, inform you as soon as reasonably practicable and reimburse any payments made.

2.12 Returns and Refunds

For information about Returns and Refunds, please go to the 'Returns & Refunds’ section under the General Help section of the App (Settings > General Help).

Change of mind returns

You can return your online order within thirty (30) days of the receipt of delivery if you change your mind, provided you comply with the conditions below. If you received Products from one order in several parcels, the 30-days return period begins on the day you received the last parcel.

Return Conditions applying to change of mind returns

In order for a return to be accepted, it must meet the following conditions:

1.       Only Products which are not HYPE Products can be returned, except as required by law.

2.       The Products must be unused and unworn.

3.       The Products must be in its original state, without stains or markings.

4.       Any accompanying items (e.g. extra laces provided with certain footwear) must be in their original state with original product packaging.

5.       Apparel must have the original packaging and original tags attached.

6.       Accessories must have all parts of the original packaging and original tags attached.

7.       Accessories must remain sealed if it comes in a sealed packaging.

8.       Footwear must returned with the original shoe box (which must not be damaged) and with original tags/stickers attached. Original sticker(s) on the shoe box should not be removed or altered in any form.

9.       Where the products’ original packaging includes polybags, these must be intact and not missing or damaged.

Statutory right of returns

You may have the right to request product return and refund within the statutory period (i.e., within six (6) months of the receipt of delivery) in accordance with the applicable consumer laws.

When you exercise your statutory right of return, you are not required to return the products in their original packaging, however, if possible please include original accompanying documentation or accessories (e.g., box, tag, manuals, warranty cards) with the returned products to check and track the source of your order.   

Notwithstanding the foregoing, we do not refund Products:

·         purchased from a source other than the App operated by or on behalf of adidas Singapore Pte Ltd.;

·         that have been damaged by your abuse or negligence (e.g. exposure to chemicals, caustic substances, open flame, high heat, sharp object, etc.); and/or

·         that have been damaged by your misuse or you engaging in activities for other than their intended purpose (e.g. use of running shoes for court sports or hiking footwear as work boots, etc.).

Return Process

To meet the deadline of return period, you shall notify us (please fill up the returns form for POP Station/Postal Service Returns or visit our retail stores for In-store Returns. For more details please check the General Help section of the App) about the fact that you are exercising your right of return under this Section 2.12 before the expiry of the return period.

You must send back or submit the Products (following our instructions) immediately after you inform us about the cancellation of the contract of sale, in accordance with Section 2.12 and 2.14.

 Following the return we will provide you with a refund for the amount paid to us under the returned (part of the) order. Please note that the time taken for a payment services provider (e.g. your credit card supplier) to provide you with the refund can vary depending upon the provider.

We fully reserve the right to reject the return and refund, and shall not give any compensation for returned products if it is established that your return fails to meet the conditions specified above and the General Help section of the App, and the original product will be returned to you without replacement or refund. This may result in extra cost charges to you by the carrier.

2.13 Exchange policy

We do not exchange Products. If you wish to exchange a Product, you will need to return your purchase for a refund and place a new order. It is only possible to get a refund on returns when the return is in line with our Returns and Refunds Policy as stipulated in section 2.12.

2.14 Damaged or defective Products

For adidas, quality is paramount. We thoroughly test all our Products in real-life conditions to ensure they are fully capable of standing up to the uses for which they were designed. It is extremely rare for our Products to be damaged or defective. adidas has a legal obligation to make sure that our Products conform to the contract of sale.

Returned Products are inspected by the adidas Quality Assurance Department and refunded if the damage is the result of a manufacturing defect or deviation from factory specifications. We undertake to fully refund the cost of any manufactured defective Products.

If the problem was caused by reasons other than materials quality or assembly process, the original Product will be returned to you. Meanwhile, we do not refund Products:

Please note the life expectancy of any Product depends on the individual using the Product, the conditions of use, and the characteristic wear patterns of the user. Our Products damaged by normal wear and tear or that have exceeded the reasonable lifespan of the Product are not refundable.

2.15 adidas Hype Terms & Conditions

These adidas hype Terms & Conditions (“Hype Terms”) set out the specific terms that govern your participation in any adidas hype event (“Hype Event”) that may be available in your country. These Hype Events provide an opportunity for consumers to purchase a limited edition adidas product (“Hype Product”) via (one or more channels of) the App or in an adidas store. During the registration and/or participation for any Hype Event, we shall communicate to you which type of Hype Event you are entering. The specific terms that apply to the different types of Hype Events that may be available in your country, are listed below from section 2.15.1 onwards. By registering and/or participating for any Hype Event you agree to be bound to these Hype Terms and the decisions of adidas. The Hype Terms apply in addition to the other terms set out in these Terms & Conditions, insofar the Hype Terms do not deviate from the other terms.  We are offering a limited number of Hype Products for purchase through a Hype Event. This offer is good while supplies last and may be limited to one Hype Product per participant and account during the Hype Event.

adidas reserves the right to modify these Hype Terms, and to cancel, modify, or suspend the Hype Event at any time. adidas has the right, in its sole discretion, to disqualify or prohibit from participating in the Hype Event any individual who adidas believes (i) has tampered with the entry process or undermined the legitimate operation of the Hype Event in any manner; (ii) has engaged in conduct that annoys, abuses, threatens, or harasses any other participant or any representative of adidas; or (iii) has attempted or intends to attempt any of the foregoing. The use of agents or automated devices, programs, or methods to submit entries is prohibited, and adidas has the right, in its sole discretion, to disqualify any participant that it believes may have been submitted an entry using such an agent or automated device, program, or method.

2.15.1 Hype eCom Draw Sale

Sale Period

The Hype eCom Draw Sale (“Draw Sale”) begins and ends on the period described in the App (the “Sale Period”).

How to Participate

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive text messages. You also must have location services and in-app messaging enabled on your device. To participate, create an adidas account or adiClub account depending on whether adiClub is available in your country. Once you have an account, during the Sale Period, you must enter the requested information to complete your participation.

Participation Rules

All entries must be submitted and received before the conclusion of the Sale Period. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. All entries are subject to verification at any time. Proof of submission does not constitute proof of entry.

Selection of Purchasers

After the end of the Sales Period, participants will be selected at random to purchase the Hype Product (“Purchaser”), with - if adiClub is available in your country - some advantage given to higher tier adiClub members.  Being an adiClub member, even in the higher tiers, does not guarantee that you will be selected to be a Purchaser.

Product Purchase and Delivery

If you are selected as a Purchaser, we will notify you by e-mail (sent to the e-mail address provided when entering), and automatically charge the purchase price of the Hype Product, plus any applicable taxes, and shipping and handling, to the payment method you provided to participate in the Draw Sale. We will ship the Hype Product to the shipping address you provided to participate in the Draw Sale. adidas’ standard payment and shipping terms detailed in these Terms and Conditions and the help section apply.

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

2.15.2 Hype eCom “First Come, First Served” Sale

Sale Period

The Hype eCom “First Come, First Served” Sale begins and ends on the period described in the App (the “Sale Period”). The first come, first served mechanism is used for e.g. the Ivy Park Hype Products.

How to Participate

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive text messages. You also must have location services and in-app messaging enabled on your device. To participate, create an adidas account or adiClub account depending on whether adiClub is available in your country. Once you have an account, during the Sale Period, you must enter the requested information to complete your participation.

Participation Rules

All entries must be submitted and received before the conclusion of the Sale Period. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. All entries are subject to verification at any time. Proof of submission does not constitute proof of entry.

Selection of Purchasers

After the end of the Sales Period, participants will be selected on a first come first served basis, to purchase the Hype Product (“Purchaser”).

Product Purchase

You should complete the checkout of the Hype Products in your shopping list as fast as you can after the Hype Products have been released for purchase, to increase the chance of purchasing them. We do not guarantee you can purchase any of the Hype Products that are in your shopping list either prior or after release of the Hype Products. We will notify you of the exact time of release through a timer on the App and by e-mail (sent to the e-mail address provided when entering).

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

2.15.3 Hype eCom “Queue Light” Sale

Sale Period

The Hype eCom “Queue Light” Sale begins and ends on the period described in the App (the “Sale Period”), and ends, at the latest when all Hype Products are sold out.

How to Participate

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive text messages. You also must have location services and in-app messaging enabled on your device. To participate, create an adidas account or adiClub account depending on whether adiClub is available in your country. Once you have an account, during the Sale Period, you must enter the requested information to complete your participation.

Participation Rules

All entries must be submitted and received before the conclusion of the Sale Period. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. All entries are subject to verification at any time. Proof of submission does not constitute proof of entry.

Selection of Purchasers

During the Sales Period, participants will be selected on a first come first served basis, for each available shoe size, to purchase the Hype Product (“Purchaser”).

Product Purchase

Your registration in the Hype Event means you agree to purchase the item if you win. We do not guarantee you can purchase any of the Hype Products either prior or after release of the Hype Products.

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

2.15.4 Hype eCom “Queue Pro” Sale

Sale Period

The Hype eCom “Queue Pro” Sale begins and ends on the period described in the App (the “Sale Period”).

How to Participate

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive text messages. You also must have location services and in-app messaging enabled on your device. To participate, create an adidas account or adiClub account depending on whether adiClub is available in your country. Once you have an account, during the Sale Period, you must enter the requested information to complete your participation.

Participation Rules

All entries must be submitted and received before the conclusion of the Sale Period. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. All entries are subject to verification at any time. Proof of submission does not constitute proof of entry.

Selection of Purchasers

During the Sales Period, participants will be selected at random to purchase the Hype Product (“Purchaser”), whereas certain criteria related to the participants may be considered, for example App engagement, participation in other Hype Events, or – if adiClub is available in your country – some advantages may be given to higher tier adiClub members. Being a adiClub member, even in the higher tiers, does not guarantee that you will be selected to be a Purchaser.

Product Purchase

Your registration in the Hype Event means you agree to purchase the item if you win. We do not guarantee you can purchase any of the Hype Products either prior or after release of the Hype Products.

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

2.15.5 eCom “Pre-order” Sale

Pre-Order & Sales Period

The eCom Pre-order Sale (“Pre-Order Sale”) begins and ends on the period described in the App. The period constitutes of two parts, namely the “Pre-Order Period” and “Sale Period”. “Pre-Order Period” means the designated period that the participants can place orders in advance for the HYPE products or other products (“Product”) that have not been released or are not currently in stock.  “Sale Period” means the period that adidas confirms the order, accepts the payment and sells the Product to the Purchaser.

How to Participate

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive push notifications. You also must have location services and in-app messaging enabled on your device. To participate, create an adiClub account. Once you have an account, during the Pre-Order Period and Sale Period, you must enter the requested information to complete your participation.

Participation Rules

Pre-order: You can participate in the Pre-Order Sale during the Pre-Order Period only if the Product is pre-orderable. All entries must be submitted and received before the conclusion of the Pre-Order Period. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. All entries are subject to verification at any time. Proof of submission does not constitute proof of entry. You are responsible for any wrong information entered at the point of submission. adidas will not accept any request for any edit/change of information including the shoe and size that was selected. You acknowledge that your participation in the pre-order does not automatically entitle you to purchase any Product. Any duplicate entries from the same participant will be disqualified regardless of whether such entries are submitted from the same account or a separate account. You reserve a right to cancel or forfeit your pre-order anytime during the Pre-Order Period, but your position will be taken by the next person on the pre-order list. We will not notify you by push notification when your pre-order is completed, but you can find your pre-order history within your profile – order section in the App.

Waitlist: If you cancel or forfeit your pre-order or there is no available stock for a particular pre-orderable product/size during the Pre-Order Period, you can still join the Waitlist for the Product. You are on the Waitlist only when you see the confirmation screen “You Are On the Waitlist”. You are responsible for any wrong information entered at the point of submission. adidas will not accept any request for any edit/change of information including the shoe and size that was selected. You acknowledge that your participation in the Waitlist does not automatically entitle you to purchase any Product. Any duplicate entries from the same participant will be disqualified regardless of whether such entries are submitted from the same account or a separate account. You can leave the Waitlist anytime during the Pre-Order Period. You can check if you are on the Waitlist on pre-order history within your profile – order section in the App.

Selection of Purchasers

After the end of the Pre-Order Sale Period, participants in the pre-order list, and participants on the Waitlist, will be automatically selected by adidas on a first come and first serve basis, to purchase the Product (“Purchaser”).

NOTE: If you do not wish to purchase the Product, you must cancel or forfeit your pre-order and/or leave the Waitlist before the Pre-Order Period ends.

Product Purchase and Delivery

You shall be deemed to have make an offer to purchase the Product upon the submission of your entries. All offers shall be subject to acceptance by adidas, which will be determined by adidas. Purchasers who are selected will automatically be deemed to have purchased the Product. If you are selected as a Purchaser, we will notify you by push notification. Once your order is confirmed, then, we will automatically charge the purchase price of the Product, plus any applicable taxes, and shipping and handling, to the payment method you provided to participate in the Pre-Order Sale. We will notify you by e-mail (sent to the e-mail address provided when entering) if your order is confirmed.  You will find your order information within your order history on the App or www.adidas.com.sg. (When order is confirmed, the order information in the pre-order history is automatically transferred to the order history). We will ship the Product to the shipping address you provided to participate in the Pre-Order Sale. adidas’ standard payment and shipping terms detailed in these Terms and Conditions and the Help section apply. Notwithstanding the foregoing, adidas reserve a right to postpone Sale Period or cancel the pre-order without notice.

If you are not selected as a Purchaser for any reason whatsoever, we will notify you by push notification before or after the Sale Period. You will not be charged when you are not selected as Purchaser.  In the event that the payment transaction is unsuccessful, the Purchaser’s order will be cancelled and the Purchaser’s rights to purchase the Product will be forfeited.

Returns

Pre-ordered Products may not be returned, except as required by law. Where any Purchaser returns any Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Product qualifies for a refund based on inspection results.

2.15.6 Retail Exclusive Hype Release

How to Participate

When participating, please remember to follow all safety guidelines in your area, including ones related to COVID-19.

In order to participate with the Retail Exclusive Hype Release, you must sign up to join a launch event in the App, which will give you a chance to win a reservation for a particular style of Hype Product. Signing up to join a launch event is not a guarantee of a reservation. During the process of signing up for a launch event you will select your preferred size and store. In order to receive notice of exclusive releases in your area, push notifications must be enabled within the App. Location services must be enabled on your device.

Selection of Purchasers

Reservations are granted based on a random selection and are non-transferable. To reserve a Hype Product, you must be within a pre-determined zone around eligible store locations as determined within the App. If you are selected to make a reservation, you will be provided a pick-up location and several timeslots. If you do not choose a timeslot, one will be allocated to you. At the designated time, you are required to bring your device with the App installed and containing a valid voucher (QR code) confirming your reservation to your pick-up location.

Product Purchase

In order to complete a purchase of the Hype Product, you must bring photo ID, an acceptable method of payment, and provide the confirmation voucher to a store employee. If you do not or are unable to pick up the Hype Product at the time, date and location indicated, it will not be held for you. Receiving a reservation is not a guarantee that you will be able the purchase the Hype Product. One (pair of the) Hype Product can be picked up per person regardless of the number of reservations. Additional terms may apply to particular launch events and reservations for particular styles of the Hype Product. Any such additional terms will be disclosed at the time you seek to join such a launch event or make such a reservation.

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

2.15.7 Hype eCom “Unbox” Sale

 

Sale Period

The Hype App “Unbox” Sale begins and ends on the period described in the App and ends once the Products are sold out or at a time communicated within the App, whichever comes first (the “Sale Period”).

How to Participate

When participating, please remember to follow all safety guidelines in your area, including ones related to COVID-19.

In order to participate through the App, you must have a device that uses the iOS or Android operating system and has the ability to receive text messages. You also must have location services and in-app messaging enabled on your device and be located in a Drop Area. To participate, create an adidas account or adiClub account depending on whether adiClub is available in your country. Once you have an account, during the Sale Period, you must enter the requested information to complete your participation.

Participation Rules

The Hype Event is limited to specific geographic areas in one or more cities, as further described in the App (each location, a “Drop Area”). Participants must be physically within a Drop Area to participate in the Hype Event. During the Sale Period, follow the instructions in the App on how to participate. Normal time rates and data charges, if any, charged by your internet or mobile service provider will apply. Participating in this Hype Event does not guarantee that you will be able to purchase a Hype Product.

Once you start participating in the Hype Event during the Sale Period, you will see a number of virtual shoe boxes in a map of the Drop Area. Only one of these boxes will contain a virtual version of the Product. To open a virtual shoe box, you must be within a certain distance from that box, as described in the App.

Selection of Purchasers

During the Sales Period, participants will be selected on a first come first served basis in relation to the Drop Area, to purchase the Hype Product (“Purchaser”). Once you find and open the box containing the virtual Product, you have a limited number of minutes to purchase the Product.

Product Purchase

All purchases must be completed before the conclusion of the Sales Period. We do not guarantee you can purchase any of the Hype Products that are either prior or after release of the Hype Products.

Returns

Hype Products may not be returned, except as required by law. Where any Purchaser returns any Hype Product for valid reasons for return stated in Section 2.14 within 30 days of the Purchaser’s receipt of them, adidas reserves the right of final decision on whether returned Hype Product qualifies for a refund based on inspection results.

 

3. USE OF THE APP

 

3.1            Introduction

 

These Terms of Use apply to your access to and use of the App, including the software contained in the App (“Software”) operated by or on behalf of the adidas Group.

 

The Purchase Terms found at section 2 apply to all offers and contracts relating to the sale and delivery of products by adidas using the App.

 

Your access to and use of the App and the information, materials, products, and services available through the App are subject to these Terms of Use, regardless of whether you possess an account through the App linked to your name and/or contact information (“Account”). 

 

Please read these Terms and of Use carefully before using the App.  If you choose to continue to use or access the App after having the opportunity to read these Terms of Use, you recognize that adidas has provided valuable consideration by offering the App free of charge, and in exchange for that valuable consideration, you agree to these Terms of Use.

3.2            Privacy Policy & Data Protection

 

The App Privacy Policy describes how we collect information about you through the App and how we use and disclose that information.

 

This mobile app uses Push-Notifications. If you wish to enable this function and receive Push-Notifications (including marketing messages) from us, please go to the Notifications section of the App and Settings section of your phone to allow notifications. You can switch off this function any time in the settings section of your phone. If you decide to turn them off, you will not receive any communication from us via push notifications. This will harm the experience of this app as you will not receive any information, for example regarding your purchase.

adidas fully respects the privacy of individuals who access and use the App. For details on the manner in which we use cookies, the type of information we collect, how and for what purpose, we use your information and under what circumstances we disclose information please see our Privacy Policy (available at ‘Privacy Policy’ in Settings) which are incorporated into and form part of these adidas Confirmed App Terms and Conditions.

By placing a purchase order, becoming an adiClub member, or by choosing to interact with us in other ways, you agree and understand that we may collect, use, store and process your personal data in accordance with our Privacy Policy (available at ‘Privacy Policy’ in Settings).

 

3.3            Changes to these Terms of Use

 

We may make changes to these Terms of Use at any time if we believe it is reasonably necessary to do so (including for security, legal or regulatory reasons). We will give you as much advance notice of this as is reasonably possible (and may do so by communicating the changes to you either when you log in to the App or by sending you notice using the contact information that you have provided to us and/or by any other means we think is appropriate).

 

In some circumstances we may need you to download the latest version of the App and/or accept a new version of these Terms of Use before continuing to use the App. Your continued use of the App will constitute your acceptance of any new or amended terms and/or updates.

 

3.4            Copyright and ownership

 

All of the content featured or displayed on the App, including but not limited to logos, icons, trademarks, text, graphics, photographs, images, moving images, sound, illustrations and software protected by intellectual property law other than User-Provided Content (together "Content"), is owned by adidas, its affiliated companies, its licensees, vendors, agents, and/or its Content providers. All elements of the App including, but not limited to, the general design and the Content, can be protected by copyright, moral rights, database rights, trade mark and other laws relating to intellectual property rights. Except as explicitly permitted under this or another agreement with adidas, no portion or element of the App or their Content may be copied or retransmitted via any means. The App, their Content and all related rights shall remain the exclusive property of adidas AG, its affiliated companies, its licensees or its Content providers unless otherwise expressly agreed. All such rights are reserved.

 

You must not use the App or any Content other than for its intended purpose. Except where we tell you otherwise in the App, you may view, play, print, and download Content found on the App for personal, informational, and non-commercial purposes only. 

 

You must not modify any of the materials and you must not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content. 

 

Except as authorized under applicable copyright law, you are responsible for obtaining permission before reusing any copyrighted material that is available on the App.  For purposes of these Terms of Use, the use of any such material on any other mobile application, website, or online service is prohibited. 

 

You are responsible for complying with all laws which apply to you and your use of the App.  The App, its Content, and all related rights shall remain the exclusive property of adidas or its licensees unless otherwise expressly agreed. You will not remove any copyright, trademark, or other proprietary notices from material found on the App.

 

3.5            Trademarks

 

All trademarks, service marks, logos and trade names which appear on products of adidas Group, product packaging and/or used on the App, whether registered or not (including but not limited to: the adidas name, the adidas corporate logo, the adidas trefoil Design, and the Three Stripe logo) (collectively "Marks") remain the exclusive property of adidas AG, its affiliated companies, its licensees (as appropriate) and are protected by applicable trade mark laws and treaties.  You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify any of the Marks in any way, including in advertising or publicity pertaining to distribution of materials on the App, without adidas' prior written consent.  The use of any Marks on any other mobile application, website, or online service is not allowed. adidas prohibits the use of Marks as a "hot" link on or to any other mobile application, website, or online service unless establishment of such a link is approved in advance.

 

3.6            Software

 

The Software is being provided to you by adidas pursuant to the following terms.  adidas grants you a non-exclusive, non-transferable, limited license to use the Software only for the purpose of using the App.  Except as specifically provided in these Terms of Use, You may not, in whole or in part: (a) copy the Software, (b) distribute copies of the Software, in whole or in part, to any third party; (c) modify, adapt, translate, reverse engineer, make alterations, decompile, disassemble or make derivative works based on the Software, except as otherwise permitted by law; (d) use, rent, loan, sub-license, lease, distribute or attempt to grant other rights to the Software to third parties; or (e) use the Software to act as a service bureau or application service provider, or to permit access to the Software by any third party.  Part of the Software may be provided by and/or owned by third parties.

 

You may not use any software, robot, crawler, spider, page scraper or any other automated means or device to (a) access, copy, affect or monitor any part of the App or its content or circumvent the structure or presentation of the App or any of its content or (b) to interfere with the operation of the App or any transaction being made on the App or interfere or affect any person's use of the App or to help facilitate any third party to purchase any product on the App.

 

You may not attempt to gain unauthorised access to any part or feature of the App or any system connected to the App by hacking, password mining or other illegitimate or unauthorised means.

 

Certain of the third party materials supplied by adidas for use with the Software are governed by open-source software license agreements supplied with such third party materials. adidas makes no claim of ownership of such open-source software, and such software is supplied solely in accordance with the license agreements accompanying such software. Accordingly, the restrictions above concerning scope of use, ownership, modification, and other provisions relating to the Software may not apply to such open-source software.

 

3.7            Accuracy of information

 

We attempt to ensure that information on the App is complete, accurate, and current.  Despite our efforts this may not always be the case.  Please note that we are not required to maintain or update any such information. You should not rely on any such information and any reliance on any such information is at your own risk.

 

The information on the App is for general information purposes only and does not constitute advice. adidas does not make any warranties or representations regarding the information or the use of the Content on the App in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise, in each case to the fullest extent permitted by applicable law.

 

3.8            Minors

You must be 18 years of age or older to access or use the App.

 

3.9 Your provision of information

 

When you provide information about yourself to us or to other users of the App, including when you create an Account, you agree to: (a) provide accurate and current information, and not to provide information that attempts to impersonate another individual; and (b) maintain and promptly update such information to keep it accurate and current.  If you provide any information about yourself that is untrue or inaccurate, or we have reasonable grounds to suspect that such information is untrue or inaccurate, we retain the right to suspend or terminate any account you establish, decline to provide you with services on the App, and/or refuse any or all current or future use of the App or any portion thereof.

 

3.10        User-Provided Content

 

You understand that all information, data, or other materials that you and other users of App upload, post, transmit, publish, display, or otherwise make available through the App, including information you share with or make available to other users of the App ("User-Provided Content"), will be deemed non-confidential and are the sole responsibility of you or the person from whom such User-Provided Content originated.  This means that you, and not us, are responsible for all User-Provided Content that you upload, post, transmit, publish, display, or otherwise make available through the App. 

 

We do not control the User-Provided Content posted and, as such, do not guarantee the accuracy, integrity, or quality of any User-Provided Content.  Furthermore, the User-Provided Content is for informational purposes only and is not intended to be a substitute for professional medical advice, diagnosis, or treatment.  You understand that by using the App, you may be exposed to User-Provided Content that is offensive, indecent, or objectionable. 

 

We are not responsible for any User-Provided Content, and will not be liable for any loss or damage caused by any User-Provided Content or your use of or reliance on it.

 

By uploading, posting, transmitting, publishing, displaying, or otherwise making available User-Provided Content through the App, you agree that:

 

·                     you are the owner of all rights in such User-Provided Content;

 

·                     you have waived all "moral rights" that you may have in such User-Provided Content, including but not limited to the right to be identified as the author of such content;

 

·                     you have the right to allow our use of such User-Provided Content under these Terms of Use;

 

·                     all User-Provided Content that you post is accurate; does not violate these Terms of Use; will not result in a breach or violation of any terms of any contract or agreement to which you are currently bound or will become bound in the future; does not and will not violate any applicable law; and will not cause injury to any person or entity; and

 

·                     you are at least 18 years old.

 

3.11        Your grant of license to adidas for User-Provided Content

 

By uploading, posting, transmitting, publishing, displaying, or otherwise making available User-Provided Content, you grant us a worldwide, perpetual, non-exclusive royalty-free license (with the right to sub-license) to use, reproduce, display, perform, adapt, modify, publish, or distribute such User-Provided Content in whole or in part in any form, medium, or technology (now known or later developed) as part of or in connection with the App. 

 

We may modify or adapt User-Provided Content, including in order to transmit, display or distribute it over networks and to conform to the requirements of networks, services, or other media.  We or others may, in our sole discretion, refer to your name or other identifier you provided when posting User-Provided Content.  You promise that our publication and use of your User-Provided Content will not infringe the rights of any third party.

 

3.12        adidas’ discretion to use User-Provided Content

 

All User-Provided Content that you upload, post, transmit, publish, display, or otherwise make available through the App may be used by adidas in accordance with our Privacy Policy.  adidas reserves the right to change, condense, delete, or refuse to post any User-Provided Content on the App in its sole discretion.  adidas does not guarantee that you will be able to edit or delete any User-Provided Content you have made available in connection with the App. We are not under any obligation to keep the User-Provided Content that you make available through the App confidential.

 

3.13        Your conduct

These websites and online services are not under our control, and you accept that we are not responsible or liable for the accuracy; collection, use, or disclosure of information; copyright compliance; legality; decency; or any other aspect of such websites and online services including their operation, or the content displayed on or through them.  The inclusion of such a link on the App does not imply our endorsement of any such website or online service, the content displayed on or through it, or any association with its operators, and you agree not to hold us responsible for any harm that may arise based on your access to or use of any linked website or online service.

 

The websites you can link to have their own separate terms and conditions as well as a privacy policy. adidas is not responsible and cannot be held liable for the content and activities of these Websites. You therefore visit/access these websites entirely at your own risk.

 

Please note that these other websites may send their own cookies to users, collect data or solicit personal information, and you are therefore advised to check the terms of use and/or privacy policies on those websites prior to using them.

 

 

3.15        Registration and passwords

 

You may be permitted or required to register or obtain a login ID and password prior to being provided with access to certain pages in the App.  You acknowledge and agree that you are responsible for maintaining the confidentiality of your login ID and password, and for all uses of your login ID, password, and/or account, whether authorized by you or not.  You agree to notify us immediately of any unauthorized use of your login ID, password, or account, or any other breach of security involving access to the App through your account.  You acknowledge that you may be held liable for any loss or harm incurred by us or any other person or entity due to someone else using your login ID, password, or account as a result of your failing to take reasonable steps to keep your account information secure and confidential.

 

3.16        Operation of the App and termination of this agreement

 

We reserve the right to do any of the following, at any time, at our sole discretion, with or without notice: (i) modify, suspend, or terminate operation of or your access to the App, or any portion of the App, or the agreement between you and us under these Terms of Use, for any reason including but not limited to for your violation of these Terms of Use; (ii) modify or change the App, or any portion of the App; (iii) interrupt the regular operation of the App, or any portion of the App, as necessary to perform routine or non-routine maintenance, to correct errors, or to make other changes to the App.


On cancellation of the agreement under these Terms of Use for any reason:

·         you must immediately delete or remove the App from your device(s) and immediately destroy all copies, full or partial of the App then in your possession, custody or control and on request by us certify to us (or our nominee) that you have done so.

 

You may cancel this agreement at any time without notice and for any reason by uninstalling the App. Uninstallation methods vary depending on your device. To uninstall the App, please use the application manager provided with your device or consult your device manual for reference.

 

The sections entitled Your Grant of License to adidas for User Provided Content and Our Responsibility for Loss or Damage Suffered by You will continue to apply after this agreement under these Terms of Use ends.

 

3.17        Events outside our control

 

Neither adidas nor you shall be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond their reasonable control, including, but not limited to: fire, lightning, explosion, power surge or failure, water, acts of God, war, revolution, civil commotion, or acts of civil or military authorities or public enemies; any law, order, regulation, ordinance, or requirement of any government or legal body or any representative of any such government or legal body; labor unrest, including but not limited to, strikes, slowdowns, picketing, or boycotts; or inability to secure raw materials, transportation facilities, fuel or energy shortages, or acts or omissions of other common carriers.

 

3.18        Access to the App

 

Neither adidas, nor any of its respective affiliates guarantee that the functions contained in the App will be uninterrupted or error-free or that defects will be corrected. Further, adidas will not provide for specific IT infrastructure or connectivity.

The App and the Content are free of charge and provided 'as is' and without any warranties of any kind.

 

We may suspend, withdraw, discontinue or change all or any part of the App without notice.                    

3.19        Our responsibility for loss or damage suffered by you

 

Your use of this App is at your own risk. Where conditions, warranties or consumer guarantees implied or applied by law cannot be excluded, adidas limits its liability, where it is entitled to do so: in respect of services, to the resupply of the relevant services or paying the cost of that resupply; and, in respect of goods, the repair or replacement of the relevant goods or paying the cost of that repair or replacement. Otherwise, to the maximum extent permitted by law neither adidas AG, its affiliated companies, its licensees, its Content providers nor any of their employees, officers, directors nor any of their agents, contractors nor any other party involved in creating, producing or delivering this App or any Content shall be liable (and you hereby discharge the aforesaid entities and individuals from any and all liability) for any direct, indirect, special, consequential or other loss or damage to any person or entity, however caused (whether by negligence or otherwise) that results from the use of, or the inability to use, this App or Content or any other material or product provided to you via this App, including damage caused by viruses or any incorrectness or incompleteness of the information on this App, or relating to the performance of the products obtained via this App or otherwise arising out of or in connection with this App or Content or the Terms and Conditions, even if adidas has been advised of the possibility of any such loss or damage.

We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time you accepted these terms, both we and you knew it might happen.

If defective digital content that we have supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

The App is for domestic and private use. If you use the App for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

3.20        If a court finds part of this contract illegal, the rest will continue in force

 

Each of the paragraphs of these Terms of Use operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

In operating the App, we may offer services as online provider of materials and links to third party websites and host User-Provided Content.  As a result, content that we do not own or control may be made available using the App. 

 

If you believe any material available via the App is defamatory, obscene, infringes intellectual property rights or is otherwise unlawful, you should notify us using contact details set out below ("Notice Procedure"). 

 

We will respond promptly and may remove or disable access to the material complained of following the Notice Procedure to resolve the claim between the notifying party and the party who provided the content.

4.2 Priorities

4.3 Amendments to the adidas Terms and Conditions

We reserve the right to make changes to these Terms and Conditions at any time in our sole discretion and without reference to you wherein you consent to the current Terms and Conditions applicable to you accordingly.

The use of this App as well as any contract of sale executed between you and us, will be subject to the version of the adidas Terms and Conditions in force at the time you place the order through this App or the day you browse this App (as applicable).

4.4 Severance

Each provision of the adidas Terms and Conditions shall be construed separately and independently of each other. If any provision is deemed invalid, void or otherwise unenforceable, that provision shall be deemed severable from and shall not affect the enforceability of any of the other provisions of these adidas Terms and Conditions.

4.5 Sub-contracting and assignment

adidas reserves the right to sub-contract, transfer, assign or novate all or any of our rights and obligations under adidas Confirmed App Terms and Conditions provided that your rights under adidas Confirmed App Terms and Conditions are not affected. You may not sub-contract, assign or otherwise transfer any of your rights or obligations under the adidas terms and conditions without our consent in writing.

4.6 Events beyond reasonable control

adidas will be not held responsible for any delay or failure to perform or comply with our obligations under the adidas Confirmed App Terms and Conditions when the delay or failure arises from any cause which is beyond adidas’ reasonable control.

4.7 Applicable law and jurisdiction

The adidas Confirmed App Terms and Conditions shall be governed by the laws of Singapore. Any dispute which may arise under these Terms and Conditions shall be under the exclusive jurisdiction of the Courts of Singapore.

Old batteries and rechargeable batteries must not be disposed of with normal household waste. These can be handed over free of charge to a community point of collection or a shop. You may also return purchased batteries and rechargeable batteries (without devices) to our offices in person. Please do not send in any batteries by post.

adiclub TERMS & CONDITIONS

Welcome to adiClub (the Club), which includes a membership program and a subscription to the adidas running and training apps as further set out below. The Club is organised by adidas Singapore Pte. Ltd., whose registered address is 109 North Bridge Road, #09-21 Funan, Singapore 179097 (adidas, we or us). When we refer to you or your we mean you, the person accessing these terms and conditions (the Terms). These Terms govern your participation in the Club and by participating in the Club, you agree to be bound by these Terms.  By joining the Club, you also agree to be bound by:

·         our website terms and conditions, accessible at  https://www.adidas.com.sg/help-topics-terms_and_conditions_for_website_use.html (Website Terms and Conditions);

·         if you are using our official mobile application, the terms and conditions of, and the privacy policy applicable to, that application (App Terms and Conditions);

·         if you are using the adidas Running and/or adidas Training app, the terms and conditions of, and the privacy policy applicable to, those apps, accessible at https://www.runtastic.com/en/terms AND on the apps (adidas Running and Training Terms and Conditions); and

·         our Privacy Policy, accessible at https://www.adidas.com.sg/privacy_policy.

 

Runtastic GmbH, Pluskaufstraße 7, 4061 Pasching, Austria (Runtastic) is a brand of adidas AG which operates the adidas Running and adidas Training apps.

 

On 3 November 2022, adiClub became available in adidas licensed stores in addition to adidas operated stores. Please see Clause 10 of these Terms for more information. 

 

Effective 20 September 2023, further changes were made to these Terms in relation to the Earning of Points, Level Points and Points to Spend. In addition to other minor changes, changes were made to Sections 3, 4, 5 and 7 and a new Section 8 was added.

 

Please read these Terms carefully.



1.       ELIGIBILITY

 

To participate in the Club, you must be an individual of at least 18 years old and a legal resident of Singapore.  By enrolling and participating in the Club, you confirm that you meet this eligibility requirement.

2.       JOINING THE CLUB

 

If you meet the eligibility criteria above, you can join the Club by filling out a registration form on the adidas website at https://www.adidas.com.sg/account-register, on the adidas mobile app, on the adidas Running/adidas Training apps, or by scanning a QR code in adidas retail stores and following the prompts. No purchase of any products is required to join the Club. Only one account is allowed per individual. If you join the Club, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the registration form.

 

3.       EARNING POINTS

 

As a member of the Club, you will be entitled to earn membership level points (Level Points) and points to spend (Points to Spend)(together, the Points).

 

You will earn Points for purchases (except for using or purchasing gift cards or any other kinds of purchases adidas may explicitly exclude from time to time) that you make on the Singapore-version of our official website www.adidas.com.sg (the Website), the Singapore-version of our official mobile applications: the adidas App or the Confirmed App (together, the App) or in adidas retail stores in Singapore (the Stores) (together, the Eligible Channels). For every SGD 1 (including applicable GST) spent you will earn 7 Level Points and 7 Points to Spend.

Purchases include purchases of regular and sale priced merchandise. Purchases at stores other than the Eligible Channels will not qualify for Points (even if you purchase adidas products). If you return purchased items, the Points earned by those items will be deducted from your Points total.

 

In addition to earning Points for purchases, you can also earn Points or other rewards for certain interactions with us. These are set out at https://www.adidas.com.sg/adiclub and include but are not limited to:

§  Welcome bonus: When you first successfully register as a member of the Club, we will automatically credit your account with a reward to thank you for joining.

§  Profile bonus: If you submit a complete profile on the App or Website then you will be awarded additional Points. This profile bonus can only be earned once. Subsequent changes to your profile will not be awarded Points, unless explicitly stated by us at that time.

§  Product reviews: You can earn Points by posting a review of adidas products on the Website or App. You hereby consent to your product reviews being publicly viewable. You may only be awarded Points for a maximum of 10 reviews per calendar year. For the avoidance of doubt, you are free to determine the content of your review provided that you comply with Customer Ratings and Reviews Terms and Conditions presented to you when submitting your review.

§  Birthday bonus: You may be eligible for a bonus on your birthday based on your level. This will be automatically credited to your membership account. Birthday bonus will be awarded only once during a calendar year.

§  Run with adidas: You can earn Points when you participate in adidas Runners events.

§  You can earn Points in the adidas Running app each time you track the distance of your run. When tracking runs, please note that Points will be given only to activities that can be tracked by GPS (e.g. we can't give Points to treadmill runs). Manual entries and edited activities are not eligible for receiving Points.

§  You can earn Points in the adidas Training app by completing workouts. You can get rewarded for a maximum of one completed workout per day. Please note that manual entries and edited activities are not eligible for receiving Points.

 

From time to time, we, in our sole discretion, may change, discontinue, or add interactions where you can earn Points, and change the number of Points that could be earned, with or without prior notification to you. Please check our rules regularly.

 

You must provide your adidas membership identification (email address or membership ID) in the Stores, or be logged into your adidas account on the Website or App to receive the eligible Points for your purchases or interactions. In the event that you are unable to receive eligible Points due to not being logged in or your identification not being accepted as proof, you may contact the adidas customer services team (https://www.adidas.com.sg/help/sea-contact/contact-us) with the required proof to redeem the Points for your purchases or interactions within 30 days from the date of your purchase or interaction, and adidas has the sole discretion to determine whether the proof you provide is sufficient and whether to proceed with your request on the redemption of Points. Thereafter, we will not accept any further requests for Point redemptions for the same purchase or interaction.

 

To the extent permitted by law, we will not be liable for any delay or omission in the crediting of Points to your account for any reason whatsoever, including but not limited to technical faults, and inaccurate and/or incomplete information submitted by you.

 

New members will start earning Points from the date they register for the Club, and no prior transactions or interactions will be eligible for Points save that when you have provided your email address for the purpose of being contacted in relation to Club membership in our Stores whilst making a purchase and you subsequently join the Club, we shall award you the Points for that particular purchase to your Club membership. Membership start dates for the Club may vary for members depending on their account type.

 

You will only be entitled to accumulate a maximum of 100,000 Points to Spend (the Limit). If you reach the Limit but engage in an activity that should earn you Points to Spend, we will add 0 Points to Spend to your account, however this will reset the 365-day expiry period (as set out below in Clause 4).



4.       EXPIRATION OF POINTS

 

Level Points

Level Points will remain valid for 12 months. This period will always finish at the end of the month. For example, if you earned Level Points on June 9, 2022, they will expire on June 30, 2023, unless adidas explicitly states otherwise. Level Points are not transferable between members. Level Points have no cash value and cannot be exchanged for cash.


Points to Spend

To reward our most loyal members, there will be more adiClub benefits for those who earn Points to Spend on a regular basis. Points to Spend will expire, on a rolling basis and to the end of the calendar month, 12 months after your last purchase or activity that earned you Points to Spend. But because all good things must come to an end, any Points to Spend can only be retained for a maximum period of 36 months – at the end of the month - before they expire automatically.  Please note that neither a purchase later fully returned nor the birthday bonus will extend the expiration of your Points to Spend.

Example: If you earned Points to Spend on 1 January 2022 and 10 January 2022, all your Points to Spend will be saved until end of January 2023. However, if you made a purchase on 21 June 2022 and earned some more Points to Spend, all your Points to Spend will be available for 12 months after that purchase until the end of June 2023. The Points to Spend earned in January 2022 will in any case not be available anymore after the end of January 2025.

Points to Spend are not transferable between members. Points to Spend cannot be exchanged for cash.

 

5.       CLUB LEVELS

 

The Club has four separate levels. You can move up through the different levels by earning Level Points.

 

Level 1 is the entry-level for members with 0-699 Level Points. You only need to register for the Club to be part of this level and no purchase of any products is required. Level 2 is for members with 700 – 2,799 Level Points. Level 3 is for members with 2,800 – 6,999 Level Points. Level 4 is for members with 7,000 or more Level Points.

 

You can climb to the higher levels by accumulating the required number ofLevel Points mentioned above within12 months from the end of the month of registration or current level entry (the Membership Year). Where applicable, multiple level upgrade is possible which will be based on your purchases and interactions with us. At higher levels, you can access even greater benefits. If level upgrades are achieved by acquiring Level Points through purchases of our products, we reserve the right to delay this upgrade for a period that is equal to the applicable return period (30 days) for the purchased product(s).

 

You must meet the requalification requirements at the end of your Membership Year in order to remain at your current level. If not, you will be downgraded to the next level below after the last day of the Membership Year. Returns can cause you to drop down multiple levels. For example, if you return an order or product, the Level Points earned will be deducted, which could cause you to drop a level by that number of Level Points.



6.       LEVEL REQUALIFICATION

 

The requalification period starts on the exact date you upgrade or downgrade to a new level or maintain the current level, and ends 12 months later, always at the end of the month (unless you upgrade earlier before such end). Level Points earned after your last level entry will accumulate towards requalification points. The number of Level Points required for you to requalify for any higher level or your current level is equal to the minimum Level Point balance needed to enter that level.

 

After a level upgrade, your requalification Level Points will be set to 0. After a level-maintenance, your requalification Level Points will be set to the minimum Level Point balance needed to enter that level (700 for level 2, 2,800 for level 3 and 7,000 for level 4).

 

If you are in level 2, 3 or 4, and you do not earn enough Level Points to maintain your current level within the requalification period, you will be downgraded to the next level below, regardless of the number of requalification Level Points you have accumulated within the requalification period. The downgrade will take place after the last day of the requalification period, always at the end of the month. After a level downgrade, your requalification Level Points will be set to 0.



7.       REWARDS – LEVEL POINTS

 

Entry and progress through each of the above-mentioned levels will unlock a set of new rewards for members as set out at https://www.adidas.com.sg/adiclub.

 

You will have access to the rewards in your current level and the levels below it. For example, a level 3 member will have access to the rewards from level 3 as well as level 2 and level 1 (except for the lower levels’ entry discount vouchers).

 

The lists of rewards for different Club levels are determined by us in our sole discretion. We reserve the right to change the rewards for different Club levels. The rewards offered are subject to availability. To the maximum extent permitted under applicable laws, we do not make any warranty or representation on any products or services offered as the rewards.

 

Certain rewards will be conditional upon you agreeing to separate terms and conditions applicable to that reward which will be made available to you when redeeming that reward. In addition, the following terms and conditions apply to the following specific rewards which may be offered under one or more of the levels:

§  Discount Vouchers: These are single use discount vouchers that are unlocked when you upgrade to a new higher level or it’s your birthday (and you have provided us with that personal data). These will have limited validity periods which will be communicated to you on receipt of the discount voucher, and maximum discount values as will be communicated to you on receipt of the discount vouchers. Certain product exclusions may apply. These discount vouchers may not be combined with other promotions or discounts, and they will not be redeemable at IMM, City Square Mall, Changi City Point, OG People’s Park and/or all Changi Airport retail stores. Other Eligible Channels exclusions may apply.

§  Early access to product launches: You may get early access to certain adidas product launches. These may include Hype product launches and are subject to pre-allocated stock availability for members.

§  Free subscription to the adidas Running and adidas Training apps: available from entry into the Club and subject to acceptance of the adidas Running and Training Terms and Conditions.

§  Premium subscription to the adidas Running and adidas Training apps: You will get a premium subscription to Runtastic Premium for the term indicated for your level, subject to acceptance of any applicable premium membership terms. Each subscription begins from the date the relevant voucher is activated with Runtastic Premium. For the avoidance of doubt, the subscription may be revoked if returning an order results in a level downgrade.

§  Hype priority access: You may get priority access to Hype product launches. However, this does not guarantee that you will get the Hype product if you participate. This reward depends on the availability of Hype product launches.

§  Early access to sales/promotions: You may receive early access to certain sales/promotions that we make available. The duration of early access may vary between sales/promotions and could also depend on which level you are in at the time of the sale/promotion. Our standard terms and conditions for sales/promotions will also apply.

 

Specific rewards (whether products or experiences) are available while supplies last and may be subject to change, discontinuance, limitations, and substitutions by us, at our discretion and at any time without notice.


8.     USE/REDEMPTION OF POINTS TO SPEND

Points to Spend can be redeemed in a variety of ways, including but not limited to:

a.       Vouchers

You may be entitled to use your Points to Spend to redeem a % off voucher (Redeemed Voucher). Every thirty (30) days and per membership account, you can redeem Points to Spend to get one Redeemed Voucher of every discount type. These will be valid for ninety (90) days from the date of redemption and can only be used once and on full price products, up to a maximum discount value of SGD500. No replacement will be given if lost or stolen, or if the Redeemed Voucher is not used within the validity period. The Redeemed Voucher may then be used to make an order on the App, on the Website or in the Stores. Certain exclusions may apply, and any additional terms and conditions will be presented to you when redeeming the voucher and when making a purchase with the Redeemed Voucher. Redeemed Vouchers will not be redeemable at IMM, City Square Mall, Changi City Point, OG People’s Park and/or all Changi Airport retail stores. Other Eligible Channels exclusions may apply.   

You can only use one Redeemed Voucher at any one time when making a purchase and it cannot be combined with any other promotions, vouchers or discount codes or be applied to discounted items. The Redeemed Voucher will only apply to the product price and will not apply to any delivery costs.

No Redeemed Voucher can be exchanged, transferred or redeemed for cash or Points to Spend. You may only use a Redeemed Voucher for personal, non-commercial use and must not sell any Redeemed Voucher. Redeemed Vouchers may not be used in sales or promotional activities including as giveaways or prizes in competitions. We reserve the right to cancel any Redeemed Voucher that we suspect has been resold or obtained in connection with an unauthorized sales or promotional activity.

For change of mind exchange or return of any products that you have purchased using a Redeemed Voucher, you will not be entitled to a refund of Points to Spend. To proceed with an exchange or return in accordance with our Returns Policy:

(a)     for Redeemed Vouchers used on www.adidas.com.sg or on the adidas App:

(i)                   for return of the entire order: please request a new Redeemed Voucher by contacting our adidas Customer Services here . Please note that only one replacement Redeemed Voucher will be provided; subsequent change of mind returns or exchanges of products purchased with a replacement Redeemed Voucher shall not be entitled to another replacement;

(ii)                 for return of part of your order: we will not replace the Redeemed Voucher and you will forfeit the discount enjoyed on the item returned;

(b)     for Redeemed Vouchers used in participating retail stores: please visit the retail store at which you used the Redeemed Voucher to exchange your item. 

b. Money can’t buy products or experiences (“MCBP”)

MCBP are products or experiences which are exclusive to members via Points to Spend redemption.

You may be entitled to use your Points to Spend to redeem MCBP and any such redemption will be subject to our eCom Terms and Conditions and any additional terms presented to you when making a redemption.

For the avoidance of doubt, if you return any MCBP in accordance with the eCom Terms and Conditions and are entitled to a reimbursement of your Points to Spend, this will be subject to the Limit as set out above in Clause 3 above (for example, if you return a MCBP that you redeemed for 500 Points to Spend but have 99,990 Points to Spend at the time of the reimbursement, we will reimburse you 10 Points to Spend).

c. Partner Offers

As and when available, you may be entitled to use your Points to Spend to redeem a voucher or product provided by another company (Partner Offer). These will have limited validity periods and maximum discount values, the details of which will be communicated to you on redemption and/or receipt. Certain exclusions may apply, and any additional terms and conditions will be presented to you when making a redemption. Partner Offers are subject to the terms and conditions of the company providing the Partner Offer. adidas is not responsible or liable for any loss, damage or injury suffered as the result of the use of a Partner Offer or your use of Points to Spend to redeem a Partner Offer.

No Partner Offer can be exchanged, transferred or redeemed for cash or Points to Spend. You may only use a Partner Offer for personal, non-commercial use and must not sell any Partner Offer. Partner Offers may not be used in sales or promotional activities including as giveaways or prizes in competitions. We and/or the company providing the Partner Offer reserve the right to cancel any Partner Offer that we suspect has been resold or obtained in connection with an unauthorized sales or promotional activity.

d. Good causes

If and when made available to you, you may be entitled to use your Points to Spend to make a contribution to a good cause as further set out at https://www.adidas.com.sg/adiclub. Any additional terms and conditions will be presented to you prior to making a contribution.

 

9.       USE OF ACCOUNT

 

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for any and all activities that occur under your password or account. The Club is for your personal use only. You must not share your adidas membership identification and/or password or in any way make them accessible to others. You must immediately inform the adidas customer services team (details set out below in Clause 15) of any unauthorised use of your password or account or any other breach of security. Any losses incurred or sustained by you in transmitting your personal data using your account shall be borne by you, and in no event shall any such losses in whole or in part be borne by us.

 

You agree that you shall not:

§  access, use, reproduce, modify, download, sell, transfer, publish or otherwise make available your membership information of the Club for any commercial purposes;

§  impersonate any person or falsely state or otherwise misrepresent your affiliation with any person or entity;

§  do any act or thing that might damage, disrupt or otherwise interfere with the operation of the Club;

§  use your account and/or your membership of the Club for illegal purposes;

§  gather and use the information and/or particulars posted or transmitted through your account, or otherwise via your membership for unsolicited advertising or unauthorised purposes;

§  abuse your membership of the Club or use it for any unlawful or unauthorised purpose (which includes transmitting any computer viruses through your account or using your account in a manner which is discriminatory, offensive, abusive, malicious, defamatory or otherwise violates or infringes the rights of anyone else through our websites or apps); and/or

§  transfer, sell or barter (or attempt to transfer, sale or barter) any of your rewards or member exclusive promotional offers.



10.    PERSONAL DATA

 

You consent to us collecting, using, processing and disclosing your personal data in connection with your Club membership according to our Privacy Policy (as may be updated from time to time). Our Privacy Policy can be accessed at https://www.adidas.com.sg/help-topics-privacy_policy.html.


Please note that some of the Stores are managed and operated by our licensee(s). In order for you to register, accumulate Points, redeem rewards or otherwise use or benefit from the Club in our adidas licensed stores, we need to disclose your Membership Administration Information to our licensee(s), and in return, our licensee(s) will need to disclose information on your purchases in their adidas stores to us. You agree to this collection, use, processing, transfer and disclosure of your personal data, including Membership Administration Information.  Please note that our licensee(s) might collect, use or process your personal data for their own purposes, so please ask for and carefully read through their privacy policy. Our licensee(s)’ privacy policies do not constitute a part of our Privacy Policy, and they will be solely responsible for their own privacy policies and data use.

 

Membership Administration Information is any information related to your adiClub membership. This may include: email address, Member ID, first and last name, mobile phone number, member tier, tier achievement date, Points balance, discount coupons or vouchers available, acquisition source ID (where you signed up to our membership), your membership country, adiClub Member ID, date you became a member, store ID (if you signed up in a retail store including an adidas licensed store), membership Points, engagement history, rewards history, membership vouchers assigned to you.

 

 

11.    TERMINATION; EXPIRATION; CHANGES TO THE CLUB

 

You may cancel your Club membership at any time by logging in to your account on the Website or App.

 

We may cancel your Club membership at any time, at our sole discretion, if we determine that you:

(a) are ineligible in accordance with Clause 1 above;

(b) have violated any of these Terms, any of the Website Terms and Conditions, any of the App Terms and Conditions, any of the adidas Running and Training Terms and Conditions, any applicable product terms of sale or any applicable law or regulation; or

(c) engaged in any deception, forgery, fraud or committed any other abuse of the Club or of your membership thereto (e.g. misuse of Points and/or rewards for any commercial purpose like resale). 

 

Membership will terminate immediately upon a member’s death.

 

We reserve the right to revoke some or all of your Points or rewards if we determine that you received Points or a reward due to an error, through fraud or deception, or in any manner not authorised.

 

If you or we cancel your Club membership, you will lose all your accumulated Points.  If you cancel your membership, you may choose to rejoin the Club by registering.  When restarting your Club membership, your previously-earned Points will not continue to your new Club membership.

 

To the fullest extent permitted by law, our decision on all matters and disputes concerning the Club and your membership shall be final and binding.

 

We may, in our sole discretion, make minor changes to the Club and/or these Terms from time to time (if, for example, there is a change in the law that means we need to change these Terms, we add new rewards, add possibilities to earn Points, modify Club functionalities or modify the technical environment). Please check these Terms as well as https://www.adidas.com.sg/adiclub regularly to ensure that you understand the up-to-date terms/rules that apply in relation to your membership of the Club.  Your continued participation in the program following such changes constitutes your acceptance of the changes.  If we deem in our sole and reasonable discretion that any changes will materially adversely impact your membership rights, we shall give you a reasonable notice. Any such changes shall be effective from such date as determined and notified by us to you from time to time.

 

We reserve the right, at our sole discretion, to make determination on the termination or suspension of the Club.  In such case, we will provide you with reasonable notice prior to the termination or suspension, as the case may be. Unless otherwise explicitly specified by us, your accumulated Points will expire upon the termination of the Club membership program.

 

You agree that you will not be entitled to any compensation in relation to any changes to the Club and/or these Terms, or termination or suspension of the Club membership program.



12.    DISCLAIMER AND LIMITATION OF LIABILITY

 

If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into these Terms.

 

Nothing in these Terms excludes or limits our liability for:

§  death or personal injury caused by our negligence;

§  fraud or fraudulent misrepresentation; or

§  any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

 

Nothing in these Terms affects your statutory rights. Advice about your statutory rights is available from CASE.

 

To the extent permitted by law, our aggregate liability to you in respect of any loss or damage suffered and arising out of or in connection with these Terms, whether in contract, tort (including negligence) or for breach of statutory duty, or in any other way, shall not exceed the amount of SGD100.



13.    GOVERNING LAW AND JURISDICTION

 

These Terms shall be governed by the laws of Singapore. In the event that any dispute arises under these Terms, or in relation to your membership in the Club, you and we both agree to submit to the non-exclusive jurisdiction of the Singapore courts.



14.    MISCELLANEOUS

 

To the fullest extent permitted by applicable law, you shall indemnify us and keep us indemnified against any loss, damage, liability cost and expense (including legal costs and disbursements on a full indemnity basis), directly or indirectly arising from or relating to your misuse of your membership and/or breach of any of these Terms, including without limitation, if you commit any fraud or misrepresent any information supplied or to be supplied under these Terms.

 

Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.

 

If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

 

These Terms do not confer rights to a third party under the Contract (Rights of Third Parties) Act, the applicability of which is hereby excluded.
